Terms of Service

"Tola AI" refers to the mobile application (including iOS and Android versions) developed and operated by us that provides AI video template services to end users, enabling users to generate personalized videos by shooting or uploading content using the templates provided by us.

"AI Video Templates" refers to the prefabricated video framework, special effects, background music, subtitle styles and other material combinations developed by us and provided in Tola AI for users to shoot, edit and generate videos.

"User-Generated Content" refers to various digital content such as videos and images generated by you by shooting or uploading your own materials using the AI video templates of Tola AI.

"Services" refers to all functions and related support provided by us to you through Tola AI, including Free Basic Services and Paid Premium Services.

"Paid Subscriber" refers to a user who purchases the Paid Premium Services of Tola AI through the Apple App Store, Google Play or our designated payment channels.

"User Content" refers to all materials (including pictures, videos, audio, text, etc.) uploaded, published and stored by you, as well as the User-Generated Content generated by you in the course of using Tola AI.

"Third-Party Platforms" refers to platforms that provide Tola AI download and payment services, including the Apple App Store, Google Play and others.

You confirm that you must be at least 13 years of age to use the Free Basic Services of the App; to use the Paid Premium Services of the App or use the App for commercial purposes, you must be at least 18 years of age (the legal age of majority in Singapore) or an entity with full capacity for civil conduct.

The Services of the App are not provided to minors under the age of 13. If you permit a minor under the age of 13 to use the App, you shall be deemed to have committed a material breach of this Agreement, and we have the right to immediately terminate your right to use the App without assuming any liability.

If you discover any minor under the age of 13 using the App, or any user under the age of 18 using the Paid Premium Services, you shall promptly notify us through our official contact information.

You confirm that your use of the App does not violate any current laws and regulations of Singapore, nor any laws and regulations of the jurisdiction where you are located.

The core service of Tola AI is to provide users with AI video templates, supporting users to generate personalized videos by real-time shooting or uploading their own materials via the templates. The Services are divided into Free Basic Services and Paid Premium Services.

Free Basic Services: Provision of basic AI video templates, ordinary resolution video export, and basic editing functions, which can be used without account registration.

Paid Premium Services: Provision of exclusive AI video templates, watermark-free export, HD/4K resolution video generation, commercial use rights and other value-added functions, which require registration and subscription purchase for use.

If you download and install Tola AI through a Third-Party Platform, in addition to complying with this Agreement, you shall also comply with the service terms of the Third-Party Platform. In the event of any inconsistency between the terms of the Third-Party Platform and this Agreement, the terms of the Third-Party Platform shall prevail with respect to such inconsistent parts.

Our platform integrates with YouTube API Services. By using these features, you agree to be bound by the YouTube Terms of Service.

We reserve the right to adjust, update or optimize the functions, templates and service content of Tola AI at our sole discretion based on technological development, operational needs and other circumstances, without prior separate notice to you; in the event that the App is temporarily unavailable due to system maintenance, upgrade or other reasons, we will make an announcement in the App as much as possible and shall not be liable for any losses incurred thereby.

The Free Basic Services are provided by us free of charge, and we reserve the right to change or terminate the content of the Free Basic Services based on operational needs without compensating users.

We are not a content licensing or review institution, but only a technical service provider that supplies video generation tools to users. We do not conduct prior review of the content generated by users using the templates, nor do we assume any liability for content endorsement or warranty.

The Paid Premium Services adopt a subscription system, including monthly subscriptions, annual subscriptions and one-time paid packages launched by us from time to time. The specific pricing, subscription period and service content shall be clearly displayed on the purchase page. We reserve the right to adjust the pricing based on operational needs, and the adjusted price shall only apply to new subscribers.

To purchase the Paid Premium Services, you shall complete the payment through our designated Third-Party Platforms (Apple App Store, Google Play) or official payment channels, and the corresponding service rights shall be activated immediately upon completion of payment.

The Paid Premium Services are a non-exclusive, revocable, non-sublicensable and non-resellable license to use. You shall not transfer, lend or share the subscription rights to any third party, otherwise we have the right to immediately terminate your subscription rights without providing a refund.

Subscription rights on different platforms are independent of each other, i.e., the subscription rights purchased through the Apple App Store are only applicable to the iOS version of Tola AI, and those purchased through Google Play are only applicable to the Android version, and cannot be used across platforms.

Automatic Renewal Rule: The monthly or annual subscription services you purchase will be automatically renewed before the expiration of the subscription period at the current subscription price; you may cancel the automatic renewal through the Third-Party Platform or the subscription management function in Tola AI. Upon cancellation, no further renewal will be made upon the expiration of the subscription period, and you may still use the Services for the remaining subscription period.

Refund Policy: The payment for Tola AI Paid Premium Services is collected and managed by Third-Party Platforms (Apple App Store/Google Play). We do not hold user payment funds and have no direct right to process refund applications. All refund applications shall be submitted in accordance with the Third-Party Platform's refund rules; if you cannot use the Paid Premium Services due to our technical failures, you may contact us for assistance with the refund process. The refund policy includes the following 5 core provisions:

Platform Responsibility: All in-app purchase refunds for Tola AI shall be subject to the official refund policies and processes of the Apple App Store and Google Play. You may submit refund applications through the official refund links of the corresponding platforms: Apple App Store refund link (https://reportaproblem.apple.com/), Google Play refund link (https://play.google.com/store/account/orders). We will cooperate with the Third-Party Platform to provide necessary usage data for refund review upon request.

Eligibility: Refund applications will only be accepted by the Third-Party Platform if they meet the following conditions: the subscription is completed within 24 hours, and no AI video generation/export operations have been performed using the Paid Premium Services. Any refund application that does not meet the above conditions will be rejected in accordance with platform rules, and we are not responsible for the review result of the Third-Party Platform.

AI Specific Terms: Due to the technical characteristics of AI, the results of video generation by Tola AI have randomness and subjectivity. Dissatisfaction with the AI generation effect alone shall not be a valid reason for applying for a refund, and the Third-Party Platform will not accept such refund requests.

Subscription Management: You may cancel the automatic renewal of Tola AI Paid Premium Services through the subscription management function of the Apple App Store/Google Play or the subscription management page in Tola AI. Deleting the Tola AI App from your device does not constitute cancellation of the subscription, and the automatic renewal will still take effect in accordance with the platform rules, resulting in corresponding fees.

Support Contact: If you encounter technical failures that prevent you from using the Paid Premium Services after subscription, or have questions about the refund process, you may contact our official customer service via email: official@topview.ai. We will respond within 30 working days and provide necessary assistance for the refund application.

The service rights of Paid Subscribers shall terminate on the expiration date of the subscription. If you fail to renew the subscription in a timely manner, you will be restored to a user of Free Basic Services. The User-Generated Content you have generated shall still be owned by you, but we reserve the right to restrict your subsequent editing and export operations on the content generated by the paid functions.

Free Basic Service Users: May only use the content generated through Tola AI for personal non-commercial purposes, and shall not use it for any commercial activities such as marketing, advertising, promotion and product sales.

Regular Paid Subscribers: During the valid period of the subscription, may use the generated content for general commercial purposes, including but not limited to corporate/individual social media marketing, brand promotion, offline event display, etc. Such right is non-exclusive and revocable, and shall automatically terminate upon the expiration of the subscription.

Business Plan Subscription: For the high-frequency commercial use needs of enterprises, commercial institutions and other entities, we launch the Business Plan Subscription Service. In addition to all the rights of regular Paid Subscribers, users of the Business Plan shall also obtain additional commercial use authorization. The specific terms shall be agreed in a separate written agreement between both parties.

Regardless of the type of commercial use, you shall not: resell or license third parties to use the AI video templates of Tola AI itself; permit third parties to generate commercial content through Tola AI; use the generated content for illegal, non-compliant or infringing commercial activities.

We reserve the right to supervise your commercial use activities. If we discover that you use the commercial rights in violation of the provisions of this Agreement, we have the right to immediately terminate your subscription rights, and you shall compensate us for all losses incurred thereby.

No account registration is required for the Free Basic Services. To use the Paid Premium Services, you need to register a Tola AI account through your mobile phone number, email address or other means and provide true, accurate and complete registration information; if the registration information changes, you shall update it in a timely manner. All losses caused by false or unupdated information shall be borne by you.

You shall be responsible for the security of your account, password and verification code, and shall not lend, share or transfer your account to any third party; if you discover account theft, unauthorized use or other circumstances, you shall immediately notify us, and we will cooperate with you in account freezing, recovery and other operations. All losses caused by your failure to notify in a timely manner shall be borne by you.

We reserve the right to terminate or suspend your account use rights at any time without prior notice to you under the following circumstances: the registration information you provide is false or incomplete; you violate the provisions of this Agreement and use the account for illegal, non-compliant or infringing activities; you fail to pay the subscription fee or renew the subscription upon expiration; we receive requests from Singapore judicial organs or law enforcement agencies; we deem that there are security risks or abnormal activities in the use of the account.

Upon termination of the account, you will not be able to log in to Tola AI. We will process your account data in accordance with the provisions of the Privacy Policy. For the User-Generated Content you have generated, we will retain it for a reasonable period, and you shall export it within such period. If you fail to export it within the time limit, we have the right to delete it.

Our Intellectual Property Rights: All copyrights, trademarks, patents, trade secrets and other intellectual property rights of Tola AI are owned by us or our licensors; all intellectual property rights of the AI video templates, special effects, background music, fonts and other materials in Tola AI are owned by us or our legally authorized licensors, and protected by the Copyright Act of Singapore and international intellectual property conventions.

You may only use the above-mentioned intellectual property rights within the scope agreed in this Agreement. Without our prior written consent, you shall not copy, modify, disseminate, resell or reverse engineer Tola AI or its materials, nor extract and use the AI video templates separately on any platform other than Tola AI.

User's Intellectual Property Rights: You shall enjoy complete intellectual property rights in the materials you upload and the User-Generated Content you generate through Tola AI, and we shall not claim any ownership thereof. But we do not guarantee that the User-Generated Content is protected by copyright in all jurisdictions.

Limited License to Use: For the purpose of realizing the service functions of Tola AI, you grant us a limited, revocable, non-exclusive, royalty-free, worldwide license to use, allowing us to use your User Content for the following purposes: processing, generating, storing and displaying your video content; optimizing and improving the technology and templates of Tola AI (without disclosing your original content to third parties individually), unless we obtain your explicit permission otherwise, we will not use your personal materials to train our core models; sharing the content to the social media platforms designated by you in accordance with your operations. This license shall automatically terminate when you delete the content or cancel your account, and we will stop using and process the relevant content in accordance with the provisions of the Privacy Policy.

If you share your User Content through the community function of Tola AI, you agree to grant us a non-exclusive, royalty-free, sublicensable license to use, allowing us to display and disseminate such content in Tola AI for reference and learning by other users. This license shall terminate when you delete the content or cancel your account, and we may retain copies for a reasonable period for caching and backup purposes.

You warrant that you shall not engage in any of the following conduct when using Tola AI. In the event of a breach of this warranty, we have the right to immediately terminate your right to use the App, and you shall bear all legal liabilities for the losses incurred thereby:

Violate any current laws and regulations of Singapore, or any laws and regulations of the jurisdiction where you are located, or engage in any illegal or criminal activities.

Exploit or harm minors by using the App, or create or disseminate harmful or illegal content involving minors.

Create, disseminate or upload illegal, non-compliant or public order and morality-violating content such as defamatory, insulting, threatening, obscene, violent, racially discriminatory or religiously discriminatory content.

Create or disseminate false election information or content containing false statements about candidates.

Upload or disseminate content that infringes on the intellectual property rights, portrait rights, privacy rights, reputation rights and other legitimate rights and interests of third parties.

Send spam, advertisements, promotional content to other users, or engage in harassment, fraud or other acts.

Impersonate us, other users or any third-party entity, or forge or alter the source of content.

Access or use Tola AI through automatic programs such as robots or crawlers, or reverse engineer, crack, modify the App to interfere with its normal operation.

Implant malicious programs such as viruses or Trojan horses into Tola AI, or engage in distributed denial-of-service attacks or other acts that damage network security.

Use Tola AI beyond the scope agreed in this Agreement, including but not limited to non-commercial users using the App for commercial purposes, or reselling templates or services.

Other conduct that we deem may damage the legitimate rights and interests of us, other users or third parties.

You shall bear full legal liability for the materials you upload and the User-Generated Content you generate, and warrant the legality, authenticity and originality of the content, and that it does not infringe on the legitimate rights and interests of any third party.

If your User Content violates legal provisions or infringes on the rights and interests of third parties, resulting in us being complained, sued or subject to administrative penalties, you shall immediately take measures to eliminate the impact and compensate us for all losses incurred thereby, including but not limited to attorney's fees, compensation, fines, litigation costs and others.

We reserve the right to review, remove or restrict access to your User Content in accordance with the provisions of this Agreement or upon receipt of complaints from third parties or requests from law enforcement agencies, without prior notice to you.

You confirm that we are only a technical service provider and shall not be liable for the legality, authenticity or accuracy of User Content, nor shall we bear any liability for third-party claims arising from User Content.

All content uploaded, generated and published by you on Tola AI shall comply with the following standards:

Comply with the Broadcasting Act, Code of Internet Conduct and other relevant laws and regulations of Singapore.

Do not contain any defamatory, insulting, threatening, obscene, violent or bloody content.

Do not contain discriminatory content based on race, religion, gender, region or other factors.

Do not infringe on the intellectual property rights, portrait rights, privacy rights and other legitimate rights and interests of any third party.

Do not contain false information, misleading content, or content used for illegal activities such as fraud or pyramid schemes.

Do not impersonate other persons or third-party entities, or forge the source or endorsement information of content.

Do not contain commercial advertisements or promotional content (unless you are a Paid Subscriber and comply with the commercial use agreement).

Do not contain false election information or content containing false statements about candidates.

We have the right to immediately remove any content that does not comply with the above standards without assuming any liability to you; if you upload non-compliant content multiple times, we have the right to terminate your right to use the App.

We reserve the right to supervise your use of Tola AI to ensure your compliance with the provisions of this Agreement and relevant laws and regulations, but we have no obligation to conduct real-time supervision of all user conduct.

If we discover that you have engaged in conduct in violation of the provisions of this Agreement, we have the right to take the following measures: remind you to correct the non-compliant conduct; remove your non-compliant content; suspend or terminate your account use rights; pursue your liability for breach of contract and require you to compensate for losses; report to Singapore judicial organs or law enforcement agencies.

When taking the above measures, we may choose whether to notify you in advance based on actual circumstances, and shall not be liable for any losses incurred by you thereby.

You agree that we shall not be liable to you for disclosing your account information, usage records, User Content and other data in cooperation with the investigation or requests of Singapore judicial organs or law enforcement agencies.

You waive any claims or litigation requests against us arising from the supervision and enforcement measures taken by us in accordance with the provisions of this Agreement.

We respect the intellectual property rights of third parties. If you believe that any content in Tola AI (including content of other users and our templates) infringes on your copyright, you may request the removal of such materials (or access thereto) from the App or any platform of the Services controlled by us by submitting a written copyright infringement notice, which shall include substantially the following content: your name, contact information and address within Singapore; information of the copyrighted work that you believe has been infringed; the specific location of the infringing content in Tola AI with sufficient precision to enable us to locate such material; a statement that you have a good faith belief that the use of the copyrighted material is not authorized by the copyright owner, its agent or the law; your signature (electronic or handwritten) and a warranty that the information in the written notice is true and accurate.

Upon receipt of a complaint notice that meets the above requirements, we will review and remove the infringing content within a reasonable period and notify the relevant user.

If you believe that the content removed by us does not constitute infringement, you may submit a counter notice to us, which shall include substantially the following content: your name, contact information and address within Singapore; information of the content that has been removed or to which access has been disabled, and the location where the content appeared before its removal or disablement of access; a statement under penalty of perjury that you have a good faith belief that the aforementioned content was removed or disabled due to a mistake or misidentification of the material to be removed or disabled; your signature and a commitment to submit to the jurisdiction of the Singapore courts.

Upon receipt of the counter notice, we will restore the removed content within a reasonable period unless the copyright complainant has filed a lawsuit with the court.

If you knowingly make a material misrepresentation that the content on the App was removed or disabled by mistake or misidentification, resulting in losses to us or third parties, you shall bear full compensation liability.

Services Provided on an "As-Is" Basis: Tola AI and the related Services are provided on an "as-is" basis. We make no express or implied warranties regarding the availability, stability, accuracy or error-free operation of the Services, including but not limited to the implied warranties of merchantability and fitness for a particular purpose.

Risks of AI-Generated Content: Due to the characteristics of AI technology, the video content you generate using the templates may have unpredictable results. We do not warrant that the generated content will fully meet your expectations, nor shall we be liable for any losses incurred thereby. If you upload photos of third parties for content generation, you must ensure that you have obtained the explicit authorization of the relevant right holders.

Technical Risks: We do not warrant that the servers of Tola AI are free of viruses or malicious programs. You shall take your own security measures to protect the safety of your devices and data. All losses caused by technical problems such as viruses, hacker attacks or network failures shall be borne by you.

Third-Party Risks: Tola AI may contain third-party links, materials or services. We shall not be liable for any third-party content or services, and any transactions or disputes between you and third parties shall be resolved by you on your own.

Force Majeure: We shall not be liable for the unavailability of Tola AI due to force majeure (including but not limited to natural disasters, wars, government acts, network failures, technical upgrades), and may suspend or terminate the Services as the case may be.

This Disclaimer does not exclude any liability that cannot be excluded under the applicable laws of Singapore.

To the extent permitted by the laws of Singapore, we shall not be liable for any indirect, incidental, special or punitive damages arising out of or in connection with your use or inability to use Tola AI under any legal theory, including but not limited to loss of revenue, loss of profits, loss of business or anticipated savings, loss of use, loss of goodwill, loss of data, whether caused by tort (including negligence), breach of contract or otherwise, even if foreseeable.

Our total aggregate liability to you shall not exceed the total amount of subscription fees paid by you to us during the twelve (12) months immediately preceding the accrual of any such claim(s); if you are a free user, our liability for compensation shall be subject to the minimum limit prescribed by the laws of Singapore.

The limitation of liability agreed in this Agreement does not exclude any liability that cannot be limited under the applicable laws of Singapore, such as personal injury or property damage caused by our intentional misconduct or gross negligence.

You agree to defend, indemnify and hold harmless us, our affiliates, licensors and service providers, as well as our and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors and assigns, from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorney's fees) arising out of or in connection with your violation of this Agreement or your use of the App, the Platform or the Services, including but not limited to your User Contributions, any use of the Content on the Platform, Content existing as part of or accessible through the App or Services and products other than as expressly authorized in this Agreement, or your use of any information obtained from the App, the Platform or the Services.

All terms of this Agreement are deemed material, and you expressly agree that any violation of any provision of this Agreement by you, or permitted/caused by you, shall constitute a material breach.

Amendment to the Agreement: We reserve the right to revise and update this Agreement from time to time at our sole discretion in accordance with the laws and regulations of Singapore and operational needs. All changes shall take effect immediately upon posting in Tola AI and apply to all access to and use of the App and any of the Services thereafter. If you continue to use the App, you shall be deemed to have agreed to the amended Agreement; if you disagree, you shall immediately stop using the App.

Governing Law: The formation, validity, interpretation, performance and dispute resolution of this Agreement shall all be governed by the laws of Singapore.

Dispute Arbitration: Any dispute arising out of or in connection with this Agreement shall first be resolved by both parties through friendly negotiation; if the negotiation fails, either party has the right to submit the dispute to the Singapore International Arbitration Centre (SIAC) for arbitration in accordance with its effective Arbitration Rules in force at the time of the arbitration. The place of arbitration shall be Singapore, the arbitration shall be conducted by a sole arbitrator, the language of arbitration shall be English, and the arbitral award shall be final and binding on both parties.

Severability: If any provision of this Agreement is held to be invalid, illegal or unenforceable for any reason by a court or other tribunal of competent jurisdiction in Singapore, such provision shall be eliminated or limited to the minimum extent necessary so that the remaining provisions of this Agreement shall continue in full force and effect.

Entire Agreement: This Agreement and our Privacy Policy constitute the sole and entire agreement between you and us with respect to the use of Tola AI, and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to the App and the Services.

Waiver: Our failure to exercise any right agreed in this Agreement shall not be deemed a waiver of such right, nor shall it affect our subsequent exercise of such right.
